Get to Know Your Proxy – Part Two: Financial Projections for a New Company

In our prior post, we covered the basics of our proposed transaction with Xos, including the consideration calculation, as explained fully in the recently-filed joint proxy (that post can be found here, the proxy itself can be found here).

You’ve also heard, since day one, that both our Board and our CEO enthusiastically support the transaction for many reasons, including our view that contributing our capital to Xos’ business model will serve to significantly accelerate the combined company’s ability to grow revenue, and achieve profitable scale.

The proxy details our diligence process and findings, but here we’ll offer some key highlights on the evaluation process and its output, which include a set of our own, independently developed financial projections for Xos.

  • We began with Xos forecasts provided by that company’s management team, and held conversations to ensure we understood the key assumptions supporting their projections
  • We held discussions with multiple customers and suppliers of Xos, conducted thorough diligence on Xos’ business informed by our knowledge of the industry, and toured  their facilities in Tennessee
  • We took into consideration certain assumptions regarding product delivery volumes, product pricing, product costs and expenses, timing of product launches, sales ramp, customer pipeline, as well as reviewing their capex
  • We also analyzed market size, market share, peak sales, expected cash burn rate, relative positioning versus competition, and other relevant factors relating to Xos and its business
  • We made adjustments to the baseline projections to account for potential risks, but also to account for the availability of ElectraMeccanica’s working capital

Following this analysis, we became comfortable with the following revenue and EBITDA projections for the combined company:

Taken together, we believe that combined, EMV and Xos are in an excellent position to meaningfully grow revenue and EBITDA as the company scales into what we believe is strong demand for an excellent product.
